By registering for, accessing, or using Onami AI ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms form a legally binding agreement between you ("Shop Owner" or "User") and MMAI TECHNOLOGY COMPANY LIMITED ("we," "us," or "the Company"), a company registered in Myanmar.
1. Description of Service
Onami AI is a Software-as-a-Service (SaaS) platform that enables shop owners to operate an AI-powered automated sales assistant on Facebook Messenger. The Service includes:
- An AI sales agent that communicates with your customers in Burmese via Facebook Messenger on your behalf
- Automated order collection, order tracking, and order management
- Payment processing support for Cash on Delivery (COD) and PayNow methods
- Sales analytics and reporting
- Product catalogue management
- An owner-facing mobile application (Onami AI App)
- A referral and promotion code system
- Subscription plan management
2. Account Registration and Eligibility
- You must be at least 18 years of age to register for the Service.
- You must provide accurate, complete, and current information during registration and keep your account information updated.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Each Facebook Page may only be connected to one Onami AI account. Connecting a Facebook Page already registered under another account is not permitted.
- We reserve the right to suspend or terminate accounts that contain false or misleading information.
3. Subscription Plans and Payments
- Trial Plan: New accounts receive a Trial plan with limited AI chat credits at no charge. Trial credits are non-transferable and expire as specified within the application.
- Pro Plan: Continued full access to the Service requires an active Pro subscription. Subscription fees are published within the application and are subject to change with prior notice.
- Payment Method: Subscription payments are made via PayNow. You must upload a valid payment screenshot as proof of payment. The subscription period begins only after the Company verifies and approves the payment.
- No Automatic Renewal: Subscriptions do not automatically renew. You are responsible for submitting a renewal payment before your current subscription expires.
- Refund Policy: Subscription fees are non-refundable once payment has been approved and the subscription period has commenced, except where required by applicable law.
- Expired Subscriptions: If your subscription expires, AI-powered features will be restricted until a valid renewal is approved.
4. Referral and Promotion Code Program
- Shop owners may participate in the referral program by sharing their unique promotion code with prospective users.
- A commission of 20% of the referred user's approved subscription upgrade value will be credited to the referrer, subject to the Company's verification process.
- Self-use of your own promotion code is strictly prohibited.
- The Company reserves the right to modify, suspend, or terminate the promotion code program at any time without prior notice.
- Any attempt to manipulate, abuse, or fraudulently exploit the referral system will result in immediate account suspension and forfeiture of any pending commissions.
5. Facebook Platform Compliance
- Your use of Onami AI in connection with your Facebook Page must at all times comply with Meta's Terms of Service, Platform Policies, and Community Standards.
- You are solely responsible for obtaining any necessary permissions from Meta to operate an automated messaging experience on your Facebook Page.
- You acknowledge that the Service relies on access to the Facebook platform and that changes to Meta's policies or APIs may affect the functionality of the Service. The Company is not liable for any disruption caused by Meta's platform changes.
6. AI-Generated Content
- The Onami AI sales agent generates responses using artificial intelligence. While the AI is designed to assist your customers accurately, AI-generated content may occasionally contain errors, inaccuracies, or inappropriate responses.
- You acknowledge that you are responsible for the content communicated to your customers through your Facebook Page, including AI-generated content delivered via the Service.
- You agree to monitor the AI agent's interactions and promptly report any concerns to us at info@onami.asia.
- The Company does not guarantee that the AI will produce error-free, complete, or suitable responses in every situation.
7. Shop Owner Responsibilities
- You are responsible for the accuracy and legality of all product information, pricing, descriptions, and images uploaded to the Service.
- You are responsible for fulfilling all customer orders placed through your AI sales agent, including delivery, returns, and customer service disputes.
- You must not use the Service to sell prohibited, counterfeit, illegal, or harmful products or services.
- You must not use the Service to send spam, unsolicited messages, or deceptive communications to customers.
- You are responsible for complying with all applicable laws and regulations in Myanmar relating to your business, including consumer protection and tax obligations.
8. Intellectual Property
- The Service, including its software, design, features, and documentation, is the exclusive property of MMAI TECHNOLOGY COMPANY LIMITED and is protected by applicable intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your legitimate business purposes during your active subscription period.
- You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Service.
- Any product data, sales data, and content you upload to the Service remain your property. You grant the Company a limited licence to process and store this data solely for the purpose of providing the Service.
9. Limitation of Liability
- To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profit, loss of data, or loss of business opportunity.
- The Company's total cumulative liability to you for any claims arising under these Terms shall not exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim.
- The Service is provided "as is" and "as available." The Company does not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
10. Indemnification
You agree to indemnify, defend, and hold harmless MMAI TECHNOLOGY COMPANY LIMITED, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
- You may terminate your account at any time by contacting us at info@onami.asia.
- The Company may suspend or terminate your account immediately and without prior notice if you breach these Terms, engage in fraudulent activity, or if continued provision of the Service becomes unlawful.
- Upon termination, your right to access the Service ceases immediately. The Company may retain your data for a period of 90 days after termination before permanent deletion, subject to legal obligations.
12. Changes to Terms
The Company reserves the right to update these Terms at any time. Updated Terms will be posted within the application or on our website. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Myanmar.
